Terms of Service

1 Acceptance

By accessing technodelta.com or using Lisa, you ("User") agree to be bound by these Terms of Service ("Terms"). If you use Lisa on behalf of an entity, you represent that you have authority to bind that entity.

2 Accounts & eligibility

• You must be at least 18 years old.
• Provide accurate registration information and keep it updated.
• Keep credentials confidential; you are responsible for all activity under your account.

3 Subscription, fees & taxes

• Fees, billing cycles and usage limits are described in the Order Form or your in‑app plan.
• Invoices are payable within 30 days. Late payments may incur 1.5 % interest per month.
• All fees exclude taxes; you are responsible for VAT/GST or similar.

4 License & acceptable use

We grant you a limited, non‑exclusive, non‑transferable right to access and use Lisa for lawful internal business purposes.

You must not:

• Reverse‑engineer, decompile, or attempt to extract source code.
• Use the Service to transmit unlawful, harmful, or discriminatory content.
• Violate any applicable laws (export control, privacy, telemarketing, spam).
• Overload or disrupt our systems (e.g., denial‑of‑service, automated scraping).

We reserve the right to suspend or terminate accounts violating the above.

5 Intellectual Property

Our IP.

All software, models, logos, text, graphics, and compilations are owned by or licensed to Technodelta and are protected by copyright, trademark, and other laws.

Your content.

You own all inputs you provide and outputs you legally receive. You grant us a worldwide, royalty‑free license to use your content solely to operate and improve the Service.

Feedback.

Any feedback or suggestions may be used by us without obligation or restriction.

6 AI outputs & disclaimers

Lisa generates results using probabilistic AI techniques. Outputs are provided "as is" and may contain errors or inaccuracies. You are responsible for verifying outputs before relying on them.

7 Confidentiality

Both parties must protect each other's confidential information using reasonable care and use it only for the purpose of performing under these Terms.

8 Warranties & limitation of liability

No warranties.

Except as expressly stated, the Service is provided without warranties of any kind, express or implied (merchantability, fitness, non‑infringement).

Limitation.

To the maximum extent permitted by law, Technodelta's total liability arising out of or related to the Service will not exceed the fees you paid in the twelve (12) months preceding the claim. We are not liable for indirect, punitive, or consequential damages. Some jurisdictions do not allow certain limitations, so they may not apply to you.

9 Indemnification

You will indemnify and hold harmless Technodelta from any third‑party claims arising out of (i) your content, (ii) breach of these Terms, or (iii) violation of law.

10 Termination

• You may close your account at any time.
• We may suspend or terminate the Service upon material breach with 15 days' notice (or immediately for egregious violations). Data will be made available for export for 30 days post‑termination.

11 Governing law & dispute resolution

Law.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law rules.

Arbitration.

Any dispute will be resolved by binding arbitration under the Rules of the American Arbitration Association in English, in San Francisco, California. Either party may seek injunctive relief in any court of competent jurisdiction for IP or confidentiality breaches.

Class‑action waiver.

Disputes must be brought on an individual basis.

12 Changes to Terms

We may update these Terms by posting a revised version and notifying you 30 days before it takes effect. Continued use constitutes acceptance.
